LEAF Community Guidelines

In addition to the General Terms below, the following terms are unique to those at the LEAF Community Member level. 

• LEAF Community Members have the opportunity to attend all LEAF Community Events.
• LEAF Community Members have their logos presented on LEAF Community assets (second tier).
• LEAF Community Members have access to the LEAF Community discussion channel (currently in Slack).
• LEAF Community Members will receive, and follow, the LEAF product package and deployment guidelines.
• You or Wavelynx may terminate your agreement to these LEAF Community Rules at any time upon 30 days’ written notice.

2. Terms Specific to Visionary, Innovator, and Ambassadors

In addition to the General Terms below, the following terms are unique to those at the LEAF Community who participate at the Visionary, Innovator, or Ambassador level.

• Wavelynx will deliver the services described in the LEAF Community Partnership order, and your company will make the payments and take the actions described in the LEAF Partnership order.
• If either Wavelynx or you fails to comply, we’ll notify each other (Wavelynx: contact@leaf-community.com) of the non-compliance and will give two weeks from the date of the notice to comply. If compliance does not occur within two weeks, the LEAF Partnership order terminates.
• Either Wavelynx or your company may terminate the LEAF Partnership upon notice to each other (Wavelynx: contact@leafcommunity.com). 
• At the time of termination, If Wavelynx failed to comply with the LEAF Partnership order or Wavelynx terminated the LEAF Partnership, Wavelynx will refund to your company, on a monthly pro-rata basis, the balance of money your company paid to Wavelynx for the LEAF Partnership level. If you failed to comply with the LEAF Partnership order or terminated the LEAF Partnership then Wavelynx will not provide any refund. 
• Your LEAF Partnership renews every year on your invoice anniversary unless terminated. 

General Terms

• Upon termination of participation in the LEAF Community, you are to immediately remove all references to LEAF from all marketing materials, digital or in print.
• The information learned from participation in the LEAF Community is to be used solely to support the LEAF Community and LEAF technology.
• Unless agreed to pursuant to a separate NDA, communications between LEAF Community participants are not confidential.
• You will not permit the LEAF Community to be a vehicle for activities which are supportive of, or appear to support, any antitrust/anti-competitive practices. Specifically, and without limitation, the exchange of pricing information, agreeing on territory restrictions, or agreeing who or who not to buy from or sell to.
• Participation in the LEAF Community solely through these LEAF Community Rules does not provide any intellectual property rights to any information received from participants in this LEAF Community.
• The information received from participation in the LEAF Community is AS IS without any warranties, express or implied, regarding the accuracy or completeness of the information. 
• You will not export the information earned in the LEAF Community in violation of any laws, including, but not limited to, export control laws. 
• This agreement to these LEAF Community Rules may be assigned to any successor by way of or in connection with any merger, acquisition, consolidation, reorganization, sale of all or substantially all of its assets, sale of stock or any other change of control transaction, regardless of its structure.
• These LEAF Community Rules contain the entire understanding of those entities that have agreed to these LEAF Community Rules. All additions or modifications to the LEAF Community Rules must be made in writing and must be signed by an authorized representative of each entity that has agreed to these LEAF Community Rules. In the event any provision of these Rules is determined to be void or unenforceable, such determination shall not affect the remainder of these Rules, which shall continue to be in force.
• Any person or entity that has agreed to these LEAF Community Rules, regardless of level of participation, may bring an action against any other person or entity, regardless of level of participation, who has agreed to these LEAF Community who then breaches these LEAF Community Rules.
• Wavelynx Technologies, LLC will maintain a list of those people or entities that have agreed to these LEAF Community Rules and will make such list available, on a non-confidential basis, on request.
